St. John's, Newfoundland CANADA, March 11, 2014 /FSC/ - The shareholders of Bluedrop Performance Learning Inc.(TSX-V: BPL)(the "Company")approved all of the proposals put forward by the Board of Directors at the Annual General Meeting of Shareholders held at the Sheraton Hotel, St. John's, Newfoundland and Labrador on March 6, 2014. Re-elected to the Board of Directors were Emad Rizkalla, Derrick Rowe and independent directors Andrew Youngman, Taleeb Noormohamed, Lecia Stewart, Bob Rae and Paul Sparkes.
The Company's Annual Audited Financial Statements for the fiscal year ended September 30, 2013 and the Auditor's report thereon were presented to the shareholders. Grant Thornton LLP was appointed by the shareholders as the auditor for the Company for the coming year.
There were twenty-one shareholders present in person or by proxy at the Annual General Meeting of Shareholders representing seventy-four percent of the outstanding shares. All shareholder votes cast at the meeting were for the resolutions put forth by the Board of Directors.
The Company has granted 9,248,284 incentive stock options (the "Options") to purchase common shares of the Company at an exercise price of $0.13 per common share to certain insiders and employees as part of its strategy to attract and retain the best talent. These Options will vest over a three year period from the date of grant. The Options are granted in accordance with the Company's Stock Option Plan approved by shareholders on January 5, 2012. The grant of the Options is subject to the final approval of the TSX Venture Exchange.
The Board of Directors appointed Mr. Derrick Rowe as Executive Chairman of the Board and confirmed the continuation of Mr. Emad Rizkalla as President and Chief Executive Officer, Mr. Bernie Beckett as Chief Financial Officer and Mr. John Moores as Chief Operating Officer for the Learning Networks Business Unit. Mr. Moores was appointed to the role of Chief Operating Officer (Acting) for the Training and Simulation Business Unit replacing Mr. Michael O'Rourke who has retired from the Company.
