Vancouver, British Columbia CANADA, April 14, 2014 /FSC/ - MicroCoal Technologies Inc. (MTI - CSE, CFQSF - OTC_Pink, OFS.F - FWB"MicroCoal" or the "Company") is pleased to announce that it has closed the first tranche of its previously announced non-brokered private placement (the "Private Placement") in the amount of US$277,963.
In conjunction with the closing of the first tranche, the Company will issue an aggregate of 1,389,815 units (each, a "Unit") of the Company at a subscription price of US$0.20 per Unit. Each Unit is comprised of one common share of the Company and one common share purchase warrant (the "Warrants Each Warrant will entitle the holder thereof to acquire one common share at an exercise price of US$0.30 for up to 12 months following the date of issuance, subject to the terms thereof. In connection with the first tranche, the Company paid a cash commission equal to 10% of the gross proceeds raised from the sale of the Units to an arm's length party in the aggregate amount of approximately US$27,796, granted finder's warrants to purchase Units equal to 10% of the Units placed and issued 100,000 common shares of the Company at a deemed price of $0.18 per share.
The Company intends to use the net proceeds from the Private Placement to advance construction on the Company's first commercial facility in Indonesia for upgrading low rank coals and for general corporate purposes and working capital. All Units, common shares and Warrants issued under the Private Placement will be subject to a four-month hold period from the closing date, in accordance with the rules and policies of the CSE and applicable Canadian securities laws and such other restrictions as may apply under foreign securities laws.
The Company will be continuing with the second tranche of the Private Placement on the same terms and conditions announced in its March 3, 2014 news release, subject to regulatory approval and the policies of the CSE.
The Units, common shares and Warrants have not been, and will not be, registered under the United States Securities Act of 1933, as amended (the "U.S. Securities Act or any U.S. state securities laws and may not be offered or sold in the United States absent registration or an available exemption from the registration requirement of the U.S. Securities Act and applicable U.S. state securities laws. This press release shall not constitute an offer to sell or the solicitation of an offer to buy, nor shall there be any sale of the Units, common shares or Warrants, in any jurisdiction in which such offer, solicitation or sale would be unlawful.
Issuance of Shares
MicroCoal also announced today that it has issued 50,000 common shares of the Company at a deemed price of $0.18 per share pursuant to a settlement agreement with a former consultant and 119,000 common shares of the Company at a deemed price per share of $0.25 to settle amounts owing to two former consultants of the Company. The common shares are subject to a four-month hold period from the date of issue.
