(PDR.H - TSX Venture), ("Pounder"), a capital pool company listed on the NEX board of the TSX Venture Exchange (the "TSX-V") announces that its previously announced business combination with Zurix Corporation Limited has been terminated and the proposed business combination will not proceed.

NEX is a separate board of the TSX-V designed to provide a trading forum for publicly-listed companies while they assess their business plans, operations, and formulate a strategy to reactivate their businesses for future growth. Pounder will resume its process of identifying and evaluating businesses and assets with a view to completing a transaction

which will meet the initial listing requirements of the TSX-V.

The Pounder Shares will remain suspended from trading pursuant to TSX-V Policy 2.9. Pounder intends to make application for reinstatement of trading in due course.
